These Terms of Service govern your use of the NAMLC website and certificate verification system. NAMLC is an independent certification authority not a government entity. Certifications issued through NAMLC-endorsed programs are not government-issued licenses or regulatory approvals.

1. Acceptance of Terms

By accessing or using the National AML Learning Center ("NAMLC") website located at namlc.org (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Site.

These Terms apply to all visitors, users, and others who access or use the Site, including individuals seeking to verify certifications, employers conducting due diligence, and any other party accessing NAMLC's public verification system.

NAMLC reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. The date of the most recent revision will be noted at the top of this page.

2. Description of Services

NAMLC is an independent certification authority that provides the following services through this Site:

• Certificate Verification: A publicly accessible system that allows employers, auditors, regulators, and other authorized parties to verify the authenticity and validity of AML/BSA training certifications issued through NAMLC-endorsed programs.

• Certification Registry: A secure registry of all certifications issued through NAMLC-endorsed training programs, maintained for the purpose of public verification and audit support.

• Standards Information: Published information regarding the standards and methodology that NAMLC applies to endorsed training programs.

NAMLC does not provide, sell, or deliver AML/BSA training content. Training services are provided by authorized training partners, including but not limited to Soflo Consulting. NAMLC's role is limited to independent certification verification and standards oversight.

3. Certificate Verification System

The NAMLC certificate verification system is provided as a public service to support employer due diligence, regulatory compliance, and audit processes. The following terms govern use of the verification system:

3.1 Authorized Use. The verification system may be used by any party with a legitimate need to confirm the validity of an AML/BSA training certification, including employers, compliance officers, auditors, regulators, and legal counsel.

3.2 Accuracy of Results. NAMLC maintains the certification registry with reasonable care. Verification results reflect the information contained in the registry at the time of the query. NAMLC does not guarantee that all certifications issued by third-party training providers are reflected in the registry unless those providers are NAMLC-endorsed.

3.3 Prohibited Uses. You may not use the verification system for any unlawful purpose, to harass or harm any individual, to collect personal information for unauthorized purposes, or to attempt to access, alter, or interfere with the registry or underlying systems.

3.4 No Employment Decisions. Verification results from the NAMLC system confirm training completion only. NAMLC verification is not a substitute for comprehensive employment screening, background checks, or professional licensing verification.

4. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, icons, images, and the NAMLC name and seal, is the property of NAMLC or its content suppliers and is protected by applicable intellectual property laws.

You may access and use the Site for lawful, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from this Site without the prior written consent of NAMLC.

The NAMLC name, seal, and certification marks may not be used by any party without express written authorization from NAMLC. Unauthorized use of NAMLC marks in connection with training programs, certifications, or marketing materials is strictly prohibited.

5. Disclaimers and Limitations

5.1 Not a Government Entity. NAMLC is an independent private certification authority. NAMLC is not a government agency, regulatory body, or law enforcement entity. NAMLC certifications are not government-issued licenses, regulatory approvals, or legal authorizations of any kind.

5.2 Not Legal Advice. Nothing on this Site constitutes legal advice. Information regarding AML/BSA regulations, FinCEN guidance, or the Bank Secrecy Act is provided for informational purposes only. You should consult qualified legal counsel for advice specific to your situation.

5.3 No Guarantee of Regulatory Compliance. Completion of an NAMLC-certified training program does not guarantee that an individual or organization is in full compliance with all applicable AML/BSA laws and regulations. Compliance obligations vary by institution type, size, risk profile, and applicable jurisdiction.

5.4 Site Availability. NAMLC makes reasonable efforts to maintain the availability of the Site and verification system. However, NAMLC does not guarantee uninterrupted access and is not liable for any loss or damage resulting from downtime, technical errors, or interruptions in service.

5.5 Third-Party Links. The Site may contain links to third-party websites, including training providers and regulatory resources. NAMLC does not endorse and is not responsible for the content, accuracy, or practices of any third-party sites.

6. Limitation of Liability

To the fullest extent permitted by applicable law, NAMLC, its officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or the verification system, including but not limited to:

• Reliance on verification results for employment, licensing, or regulatory decisions

• Errors or omissions in the certification registry

• Unauthorized access to or alteration of your data

• Any other matter relating to the Site or its services

In no event shall NAMLC's total liability to you for all claims arising out of or related to these Terms or your use of the Site exceed one hundred dollars ($100.00).

7. Privacy and Data

NAMLC's collection and use of personal information in connection with the Site is governed by our Privacy Policy, which is incorporated into these Terms by reference.

The certification registry contains the names of certified individuals, their certificate IDs, the training program completed, and the date of certification. This information is maintained as a public record for verification purposes. By completing an NAMLC-endorsed training program, individuals consent to the inclusion of their certification information in the public registry.

NAMLC does not sell personal information to third parties. Registry data is used solely for the purpose of certificate verification and audit support.

8. Relationship with Training Providers

NAMLC maintains a structured, independent relationship with authorized training providers, including Soflo Consulting. The following terms govern this relationship as it affects users of this Site:

8.1 Independence. NAMLC operates independently from all training providers. Training providers do not control NAMLC's certification standards, verification outcomes, or registry entries.

8.2 Endorsed Programs Only. NAMLC certifications are issued only in connection with training programs that have been reviewed and endorsed by NAMLC. Completion of a training program that has not been endorsed by NAMLC does not result in NAMLC certification.

8.3 No Agency. Nothing in the relationship between NAMLC and any training provider creates an agency, partnership, joint venture, or employment relationship. NAMLC is not responsible for the content, quality, or delivery of training programs offered by third-party providers.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Site shall first be submitted to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association.

Notwithstanding the foregoing, NAMLC reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or prevent unauthorized use of the verification system.
